Congress recently passed a corporate reform bill known as the Sarbanes-Oxley Act of 2002. President Bush signed the Act into law on July 30, 2002 and called the legislation “the most far-reaching reforms of American business practices since the time of Franklin Delano Roosevelt.” The act is aimed at eliminating corporate accounting fraud and deceptive management practices at public companies and contains far reaching provisions addressing issues such as personal responsibilities of top corporate officers, new obligations of management, enhanced SEC financial disclosure, and auditing issues for public companies. While some of the provisions become effective immediately, other provisions must be implemented by the SEC through the adoption of rules over a time period ranging from 30 days to one year.
