Your research into this is truly noteworthy. I've just spent 2-3 hours going through all of the relevant SEC documents for all three companies and I(with my computer's find function) can't seem to uncover the term "Regulation S" in any of it's forms on any of their forms. In fact, I got so worried that my computer was on the fritz that I called up QCOM and asked someone in investor relations(the CFO was unavailable). Even they hadn't heard about their evil filing.-g- Never fear though, I'm sure the CFO will vindicate what I'm sure is excellent research on your part. I have also placed a call to Lam but so far have gotten no response.

Amazing! I just got a call from the treasurer of Qualcomm, Dick Gannis. The first words out of his mouth were: "What's this rumor you heard about us!". When I explained that they had done a Reg S deal he was absolutely appalled and, of course, denied it all. He went so far as to say the for QCOM to do a Reg S would be the ultimate slap in the face for U.S. investors. I can't wait 'till he does his research(like you have) and discovers that even his company is guilty.-gggg- Anyway, the fact that the treasurer of a $3 billion company personally returned my call underscores the stigma that is attached to raising money in this insidious manner. Even I was impressed.

BTW -- Is it possible for you to share with us the URL's for the Regulation S offerings done by QCOM, NXTL, and LRCX. Thanks.
