I'm glad that the Reg. S filing is being discussed so thouroghly on this thread. I have some concerns myself so I was relieved to see other reputable companies have done some fairly similar deals. It is obvious that some small OTC stocks have taken advantage of loop holes in Regulation S in the past. That does not mean that WIND has done so. The 8/15 8-K filing lays out the details of how the notes can be converted. It is best we study the specifics concerning WIND's offering. Are their any provisions for lowering the conversion price of $48.50 if the stock drops? Is there any incentive for note holders to drive the stock price down? I couldn't find any at first glance.
