10.4% of the outstanding shares) and warrants to purchase an additional 1,100,000 common shares
of First Majestic Resource Corp. (the “Company”) of Vancouver, British Columbia. If such warrants
were exercised we would have control and direction over 14.8% of the outstanding shares of the
Company. We do not own or have control or direction over any other securities of the Company.
