why in the world does INTC need another fab when so many are currently underutilised and INTC market share is looking to decline going forward?

Apparently Intel does not agree with your declining market share forecast. So what's all the capacity for? I must admit it seems like quite a bit to me but to understand the need you must understand that Intel is not only the market leader in Processors but also Chipsets, which includes being the market leader in graphics. They are the market leader in Network processors too. They are now claiming their Comms group will be profitable next year. They can make that claim because they have the design wins and now those designs are ramping in high volume. They have some very impressive design wins in the wireless market and if those designs turn into high volume as well they will need a great deal of capacity to meet demand. Now add cell phones. Intel also has excellent products in that area and they will need to meet demand if the designs take hold. Now consider Flash. Intel sees upside in that market and that doesn't mean AMD has to lose it. Bottom line is I think Intel believes demand is exploding and with all their cash they want to be in a position to take advantage of it. This doesn't have to be at AMD's expense.
