I just got done talking to IHS IR. I also talked to someone at ROTC, but not IR. There have been no dates set for either the shareholder's meetings or for sending out the proxies. The best guess at this time is that the proxy material will be sent out sometime in September, and the meetings will be held in October. The 8-K filed in July states that the merger is expected to be closed in the 4th quarter of the year.

There was also something else of interest in the 8-K. It stated:

"Each party may terminate the Agreement if the average trading price of the IHS Common Stock over the 10 trading days ending on the fifth trading day prior to the RoTech stockholders meeting to approve the merger is less than $33.00."

At the conference call announcing the merger agreement, it was strongly stated that if the $33 condition was met, the merger would definitely be off, and renegotiation would occur. The 8-K seems to make this considerably less certain.
