Finally got the private placement info packet. I thought I would state some things that other people involved in it might like to discuss...

From Form 20A:

4a) no securities commission or similar regulatory authority has reviewed or passed on the merits of the Securities

4b) there is no government or other insurance covering the Securities

4d) there are restrictions on my ability to resell the Securities and it is my responsibility to find out what those restrictions are and to comply with them before selling the Securities

4e) I will not receive a prospectus...

4f) because I am not purchasing the Securities under a prospectus, I will not have the civil remedies that would otherwise be available to me

None of those things seem very "happy"... anyone have any feedback on that? I thought we might have a minimum holding period (say 3-6 months) but a YEAR? My warrants would only be good for a year, so if the stock goes to 3.00 I can't even take my initial investment off the table for a YEAR. And I can't then turn around and use proceeds to exercise the warrants (the warrants expire at the end of the year and I can't sell until the end of the year)...I have to dig deeper into my pocket. That will effect how many units I would purchase up front right now.

A great deal of information refers to the British Columbia Securities Act and "Rules" thereof...where can I find out about all of those paragraphs in the "Rules" that Schedule "B" (Private Placement Subscription Agreement) refers to?

With all of these legal references and selling restrictions, the market at 0.60 plus commissions looks a lot better right now than I thought it did.
