Not a very active thread, but this worth noting.
Sure is a lot of verbage to say everything is fine and normal, so why do the auditors want out?
Anyopinions welcome.

On June 18, 2004, Deloitte & Touche LLP ("Deloitte") notifiedNanometrics Incorporated (the "Company") of its intent to resign as theCompany's independent registered public accounting firm effective immediatelyupon completion of Deloitte's review of the Company's unaudited condensedconsolidated interim financial statements to be included in the Company's Form10-Q for the quarter ended July 3, 2004, which is expected to be filed on orbefore August 17, 2004.

Deloitte's reports on the Company's financial statements for fiscal2003 and 2002 do not contain an adverse opinion or a disclaimer of opinion, andare not qualified or modified as to uncertainty, audit scope or accountingprinciples, except that such reports include an explanatory paragraph relatingto a change in method of accounting for goodwill and other intangible assets.The decision to change accountants was not recommended or approved by the auditcommittee of the Company's board of directors.

During fiscal 2003 and 2002 and through June 18, 2004, there were nodisagreements between the Company and Deloitte on any matter of accountingprinciples or practices, financial statement disclosure, or auditing scope orprocedure which disagreements, if not resolved to Deloitte's satisfaction, wouldhave caused Deloitte to make reference thereto in Deloitte's report on theCompany's financial statements for such periods. In addition, no reportableevents, as defined in Item 304(a)(l)(v) of Regulation S-K, occurred during theCompany's two most recent fiscal years and through June 18, 2004.

The Company has requested that Deloitte furnish it with a letteraddressed to the Securities and Exchange Commission stating that it agrees withthe above statements. A copy of such letter is attached hereto as Exhibit 16.1.
