DISCUSSION WITH Fonar 6-30-04

GENERAL INFORMATION ABOUT Q4
--Need 3 ½ shipments per month for profitability
--Shipment rate was higher than that in the 4th quarter
--Fonar had an excellent quarter
--Very, very good quarter for shipping
--Definitely believe Fonar was operationally profitable in the 4th quarter
--Fonar may have gone profitable in 4th quarter
--Fonar has been improving about $1 million per quarter for quite some time
--Possible expenses for TW and HMCA could be greater than profits from operations
--Just visited with the first auditors
--Release in 75 days ---- Sept 15th approx
--Expect the quarters ahead to be profitable (note* this is the first time management has made this kind of statement. Also note the use of the plural in “quarters” )

HMCA
--Did not have a copy of the HMCA contract to send. (check back later)
--Every three months can change the billing percentage
--First half of 2004 Fonar and HMCA both slowed advertising
--Management believes this is the last year of losses for HMCA
--Periodically change the % billing rate for each PC for changes in costs & revenues
--HMCA loss (9 months ending 3-31-04)----------$457,000
--HMCA loss (9 months ending 3-31-03)----------$947,000

REVENUE
--9 months ending 3-31-04 Total Revenue---------- $50.5 million
--9 months ending 3-31-03 Total Revenue---------- $39.0 million

SG&A
--9 months ending 3-31-04 Total SG&A------------ $18.8 million
--9 months ending 3-31-03 Total SG&A------------ $17.2 million

S-3
--Filed shelf to raise “Working Capital” only
--Shares will not be used for salaries
--Shares are not for bonus packages
--Circumstances may change, but management does not expect to file additional S-3's in the 12 months ahead.
