I really don't think there is or was any motive, such as fear of restructuring.

Rather, I think they take the best advice Wall Street advisors have to offer. What's wrong with that? Well no one appears to ask how that will play in Peoria, Pomona, or Podunk.

What happened to Caesar's wife? Apparently she no longer needs to be above suspicion. It is not enough to say, gee that's a great idea. It gets us around a difficult issue. Management should first state, that they care more about making sure whatever is done does not hurt Xoma's image, regardless of how neat an idea it may seem to be.
