Here's Crossy's take on the issue after talking with the company:

The good news is that I was able to talk to Debbie (CAO) and Darcy (EVP) this evening. They are negotiating with the convertible holders to cure the defaults or obtain a waiver and it looks they are supportive.

While the short form reg's of S-2 or S-3 are closed to the company at the moment, they still can honour their obligations under the registration agreement to the convert holders by means of an S-1. By next week they will start working on such a "full length", prospectus like registration statement - this could take one week and become effective, passing the SEC within 2-3 weeks. This would cure their "registration default" condition..
