ENI JOINS ALBACOM - THE BT, BNL AND MEDIASET ALLIANCE

ENI, BT, Banca Nazionale del Lavoro (BNL) and Mediaset, announced today that ENI has agreed in principle to join Albacom, the Italian telecommunications company.

ENI will inject capital into Albacom, giving it a 35 per cent stake in the company. BT and BNL will now jointly hold 45.5 per cent (through Albacom Holdings Ltd) and Mediaset 19.5 per cent.

As part of the deal Albacom will purchase ENI telecommunications division - SNAM tele - and will lease its fibre optic network. Another element of the joint venture agreement is a contract for Albacom to provide outsourced telecommunications services to the ENI Group. ENI will continue to operate remote control and telemetering activities of its gas pipeline network.

The joint venture will begin by operating in the already liberalised services sector in Italy. It aims to develop its role as a global operator in all telecommunications fields and become the second Italian operator in the fixed telephony market.

In the first phase of the project investment should reach approximately Lit. 550 bn.

The transaction is subject to EU approval.
