Aug. 25, 1997 PETsMART Inc. announced Aug. '97 13-week loss per share of $0.31 vs earnings
of $0.02 for same period a year ago. 26-week loss of $0.32 vs earnings of $0.02 for same
period a year ago.

Based on average common and common equivalent shares. adjusted for two-for-one stock split
of record in July 1997.

Results or 1996 were restated for companies acquired on a pooling-of-interests basis.

Results for the 13 and 26-week periods of 1997 include merger and restructuring charges of
$0.33 per share.

Note:Pre-tax merger and restructuring costs amounted to $12,300,000 & $20,364,000 for the 13
