According to Octel's wording---"Following the sucessful completion ot the Tender Offer, upon approval by stockholder vote, if required, Lucent will be merged with and into Octel (the "Merger"), and all shares not purchased in the Tender Offer will be converted into the right to receive $31.00 per Share in cash, net to the seller, without interest."

My interpretation would be that assuming enough shares are tendered the merger will go through. If the tendering is not succesful, then I don't know the answer. I skimmed the info sent to me and haven't found a reference to such.

There is a provision for appraisal of shares if you don't tender---however this would appear to be ridiculuous unless you owned a significant number of Octel's shares and wanted to force an appraisal.
