Hello Rick,
I have also talked to Mr. Murphy and that is what has been said. Nothing that I know of is in writing at this time. The underwriters will also play a part in the issuance process if my info is correct. The IPO is designed to raise working capital but they can't just take value from the current shareholders of DCIC without giving us something in return. There have also been no concrete numbers of FNET stock to be issued and my guess is that the 12 million shares that DCIC proposes to hand to shareholders isn't a huge % of the shares that will be issued.
There are others here more knowledgable than myself with better access to numbers but this has been my take on this situation since I started following it 9 months ago. I'm not betting the farm on this all happening but I sure like the direction it is going so far. There are still many obstacles to be overcome and tons of work to do before this is a reality. DCIC has hoped to have the IPO ready by early Nov if at all possible but that may be too soon to get all the i's dotted and t's crossed. If it can't be put out by then, I was told they wanted to wait until Jan 97.
All this info has been phone info and none of it is in writing on my part. I hope I've helped some as I know I've gotten really good info so far from Brad, Raleigh and Mr. Murphy. Take care...
