On August 1st, 1997, NAR Resources Ltd. (the "Company") entered into an agreement with Falconbridge Exploration Limited (FEZ), a subsidiary of Falconbridge Limited. The Company will have the right to earn-in interest in properties identified by FEZ in the Archean greenstone belts of Zimbabwe by funding the exploration work to be conducted by FEZ.

The primary target of the program is to search for world class volcanogenic massive sulfides (VMS) deposits and other mineral commodities. If during the earn-in period the in-situ economic value of the deposit is recognized as copper-zinc or minerals other than nickel or gold, the Company will earn 40% in the property. For nickel designated deposits, the Company will earn a 20% interest and for gold deposits the Company will earn an 80% interest. Recent drilling has already intersected copper-zinc and silver mineralization in one designated project.

The Company will provide a total of US$2.0 million spread over three years for regional scale work and US$2.0 million spread over five years for each specific project exploration. The Company is in the process of completing a financing of 1,250,000 common shares with warrants attached at $1.20 per unit.

The Company was incorporated under the laws of the province of Ontario in March, 1994, and is a reporting issuer in the provinces of Ontario and Quebec. The Company's shares trade on the Montreal Stock Exchange under the symbol "NRL".
