(OTC Bulletin Board: TELT) is pleased to announce that it has signed a
definitive agreement subject to certain conditions to sell 24 million shares
of Teltronics restricted, unregistered common stock at approximately
$1.88 per share, raising $45 million. The agreement calls for payment of
$15 million at closing and two promissory notes of $15 Million to be satisfied
in 2006 and 2007
