The "Stock Options" on page 34 of Indo's Annual Report aren't stock options. They are warrants. I was with an emerging growth company and in charge of administering the stock option program. The typical stock option has the following characteristics:
1) Given to employees, officers, directors and consultants.
Indo is ok in this area.
2) Is granted to individuals on a vesting basis. Usually the options vest quarterly or monthly over a three to five year period.
Nothing is mentioned about any vesting schedule on the Indo options.
3) Are required to be exercised if the following events occur:
A) The employee leaves the company.
B) The term of the option plan or program expires. This is usually five to ten years.
In Indo Pacific's case these "options" are required to be exercised at a certain date. It seems they are about 2 to 3 years from grant date.
To be quite frank, these are definitely not options, they are warrants. Nor do they seem to be tied to any incentives for performance. Sure, the company has obtained exploration rights to a lot of land, but as yet it has little or no income.

Once again we are getting an unreasonable profit sharing scheme. It seems that Chairman Guidi wants to keep as much of the future gains in this thing as he can to himself. How many ways can the pie be cut through greed or manipulation instead of through the pie itself getting bigger?
