I have always felt that it would be difficult to make a case against Lay. He appears to have not left a paper trail and, if I am not mistaken, he avoided using email. Skilling and Fastow were the real architects of the cooked books. The prosecutors need to get the cooperation of Skilling. Presumably he kept Lay in the loop. For what it worth, it has been my experience that the CEOs of many companies, particularly large companies, don't have a handle on the nitty, gritty details. The old "They kept me in the dark" defense. I once worked for someone who absolutely refused to put anything in writing.
