Aug. 28, 1997, National Media Corp. (NM) said it reached an agreement in principle to sell an
aggregate of $20,000,000 in Conv. Pfd. stock and warrants to purchase NM common shares to a
"limited number of institutional investors who are not presently affiliated with the company."

The proposed transaction is subject to, among other things, the agreement of NM's principal lender
to extend NM's existing borrowing facilities on terms "acceptable" to the investor group and NM.
