For the record, we think this is good. This is a critical incentive in addition to compensating the Selwyns for the shareholder value destruction sustained immediately subsequent to the SoftQuad-Alpha acquisition, the virtual disappearance of SoftQuad HoTMetaL sales and declining Web Authoring market share, and the dominance of Alpha contributing revenues to Q2. This is simply what its all about, however, again, any option repricings pursuant to Special Board/Compensation Committee meeting or Fiscal 1997 Proxy for any pre-Alpha SoftQuad insider will not be tolerated, and will be vigourously pursued with all legal recourse. Options repricings pursuant to sustained and substantial shareholder value destruction will be regarded as alleged stock fraud and, again, will be pursued accordingly. (We are not aware of this occuring at this time i.e. there has been no full or any disclosure)

Mr. Schneider also is a superior fit here.
