Amarillo postpones Jan. 5 shareholders meeting

Amarillo Gold Corp.'s proposed extraordinary shareholders meeting, which was scheduled to be held on Jan. 5, has been postponed. A new date for the meeting will be held as soon as Amarillo's information circular has been approved by the TSX Venture Exchange. Amarillo will make a subsequent news release as soon as there is a more definite date for the meeting.

It is Amarillo's intention to work through all the requirements of the reverse takeover process to move to Tier II of the TSX-V as expeditiously as possible. The last stage of this process is the formation and acceptance of the information circular and the holding of the shareholders meeting. The shareholders will be asked to vote on the purchase of the Mara Rosa gold property in Brazil. If the vote is affirmative, then the transfer to Tier II of the TSX-V is expected to occur soon after.

On Oct. 21, 2003, Amarillo entered into an agreement with De Re Holdings, an arm's-length party to Amarillo, for the purchase of all of the issued and outstanding shares of Metallica Brasil Ltda., a wholly owed subsidiary of the vendor. The primary asset of Metallica is the Mara Rosa gold project located in Goias state in central Brazil.

Under the terms of the acquisition agreement, Amarillo has paid the vendor $450,000 (U.S.) and completed the payment for the shares of Metallica. Underlying interests on the Mara Rosa project include two separate 1-per-cent net-smelter-return royalties to Newmont Mining and to BHP/Billiton, respectively.

The Mara Rosa project is the subject of an independent technical report prepared by B. Terrence Hennessey, of Micon International Ltd., entitled, "A review of the Mara Rosa gold project, Goias state, Brazil," and dated December, 2003. The technical report was prepared in accordance with National Instrument 43-101 and is available for inspection upon request at Amarillo's operations office or it can be viewed on Stockwatch SEDAR filings of Jan. 13, 2004.
