Boiled to its essence, the release requires that "offshore" issuers who do not wish to subject themselves to the registration requirements of U.S. securities laws must make clear on their Web sites that the offering is not directed to U.S. citizens and must take reasonable steps to ensure that U.S. citizens do not participate in such offerings. That second link is dead, but I guess they got around it somehow...or you and your friend are not american -g-
