The SEC is not, by definition, a company insider. Tony was certainly an expert in trading and often quoted SEC acts and regs. To say he didn't know about trading on insider information really defies logic. What? As for who sought whom is a question that probably wasn't that important. If you are part of an enterprise, it doesn't matter if you seek it or the other conspirators seek you. I think it makes an enormous difference.
