I agree with you, what happened to the Board of Director's Fiduciary Responsibility? It seems that Procept sold out to Paramount Capital! It wouldn't surprise me if you see a lawsuit challenging this agreement. It wouldn't be the first lawsuit against Paramount Capital. It looks to me that Procept must be anticipating some opposition to the stock split. To assist in the solicitation of proxies, the Company has engaged D.F. King for a base fee of $3,500 plus an additional fee per contact made. Maybe Procept remembers that the preferred stock proposal didn't get approved quickly!
