IN THE MATTER OF RICHARD KERN

An Administrative Law Judge has issued an Initial Decision in the matter
of Richard S. Kern. The U.S. District Court for the Southern District of
New York permanently enjoined Respondents Richard S. Kern and Charles
Wilkins from violating Sections 5(a) and 5(c) of the Securities Act of
1933, and Section 10(b) of the Securities Exchange Act of 1934 and Rule
10b-5 thereunder. The Initial Decision finds that it is in the public
interest to bar Richard S. Kern and Charles Wilkins from participating
in the offering of any penny stock. (Initial Decision No. 281; File No.
