ADCM Buyout! (Finally!)

MOORESTOWN, N.J.--(BUSINESS WIRE)--Sept. 5, 1997

Now Largest Service Provider In 220MHz SMR Sector

Intek Diversified Corporation (NASDAQ:IDCC) today announced it has entered into definitive agreements to acquire substantially all of the interests in 220MHz - 222MHz Specialized Mobile Radio (SMR) systems and operations of Pagers Plus Cellular Company of Walnut Creek, CA., and American Digital Communications, Inc. of Denver, Colorado.

The transactions involve an aggregate of 47 Federal Communication Commission (FCC) licenses in addition to the assignment of five management agreements and the acquisition of all of the base station equipment related to the operation of the systems. Intek Diversified Corporation (Intek) also recently completed the acquisition of 73 licenses held by management clients of its wholly-owned subsidiary, RoameR One(TM) Inc., as well as acquired 36 systems and licenses from third parties. Intek now owns or manages a total of 1,245 channels, establishing the company as the largest service provider in the developing 220MHz Specialized Mobile Radio industry.

Robert Shiver, CEO of Intek, commented: "This latest round of system and license acquisitions is part of Intek's continuing strategy to consolidate the 220MHz industry, utilizing the company's proprietary linear modulation technology. RoameR One(TM) will now be able to provide superior service to its customers by networking these added sites together to form wide areas of coverage. RoameR One(TM) has implemented a marketing strategy to acquire subscribers and is looking forward to including the newly-acquired sites into its roll-out plan.

"RoameR One," he added, "is embarking on an aggressive program to address 112 market areas in the U.S. by the end of the year. By utilization of its proprietary linear modulation technology, the company will be able to offer airtime subscribers both voice and a broad range of data applications such as automatic vehicle-tracking, telemetry functions, status messaging, computer aided dispatch, bar code reading, remote document printing, monitoring and other mobile data terminal functions."

Intek's proprietary linear modulation technology is generally considered to offer the fastest data rate capability available in trunked radio system technology.

Intek Diversified Corporation operates its SMR systems in the U.S. within the 220 MHz spectrum through RoameR One(TM). Another subsidiary, Radiocoms, designs, develops and manufactures Land Mobile Radio (LMR) products utilizing proprietary LM technology. Intek's Midland USA subsidiary is a leading distributor of LMR products, manufactured by both Radiocoms and others, and operates through a well-established base of authorized dealers and resellers in the U.S.
