COMMON STOCK SHAREHOLDER RIGHTS

Loudeye is now listed on the Nasdaq Threshold List which means that "Naked Short Selling" has begun. I have investigated Reverse Stock Splits and Death Spiral Financing. I am trying to convince Loudeye Management that any scheme or strategy that causes a major shift in % of ownership away from Common Stock shareholders violates SEC Rule 10b-5 and violates state securities fraud laws as well. I fear that I may fail.

Please vote your proxy and keep a copy on file for future actions. I am voting against 2,3, & 4; I am voting for 1 & 5. I figure it is better to change minds than to have management look for new talent. Don’t want to throw out the baby with the bath water.
