I don't think LU would agree to anything with NT unless it was dirt cheap. NT represents one of the biggest management ripoffs of all time. Remember the CEO of NT, what was his name, Roth? Profiled for all his fast, expensive cars, he took 100's of millions from shareholders, in a P&D, which brought NT all the way close to 100 and then back down to pennies. Yet, he kept everything and I don't believe he is in any jeopardy.

The books and obligations of NT are probably filled with potential problems that LU doesn't need. The Canadian government protected NT from going down and probably protected management from the consequences of their rape of the shareholders.

LU was no prize for shareholders, but they should be wary of combining with a company that was probably as bad as Enron for shareholders, but pretty much has "gotten away with it."
