The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Feb. 18, 2005, and April 11, 2005:
Number of shares: 3.5 million
Purchase price: 10 cents per share
Warrants: 3.5 million share purchase warrants to purchase 3.5 million shares
Warrant exercise price: 15 cents for a period of 18 months
Number of placees: 16
Insider participation: Wayne O'Connor, 100,000 shares
Finder's fees: A total of $6,300, payable to Mark Zaret, Richard Williams and William Moore.
