Thanks for your post. I suppose another "discounting" factor is the uncertainty in value of AVNT itself. If AVNT tumbles due to criminal activity, it would be more difficult to come up with $150M in discounted stock (i.e., it would take more shares, increasing the dilutive effect on the total shares outstanding).

I have to say that I'm troubled that TMI (or whatever it is called) has so discounted the AVNT criminal proceedings that it entered into this transaction. Either the AVNT morass is entirely overblown or the TMI (whatever it is called) shareholders have just acquired a derivative suit in their own right. I mean, doesnt TMI (whatever) have a due diligence obligation? What due diligence could justify a buy-out in AVNT stock??? Some lawyers (I'm one) must have concluded that this is not a real risk.
