To All: SCAM SCAM SCAM. We are dealing here with a very shady company, and I would WARN anybody before SINKING hard money into this sewer. BTW I sold my position today after analyzing this TRASH. I was in for a week and lost $2,000. I spoke to investor relation and there is something lacking in honesty. The following are my concerns: 1) The preffered offering killed the share value for a long time. The reason being that the preffered ($8 million still left to convert) can convert at a 30% discount to CURRENT price forever. This causes a domino effect. As sson as they start selling at say 1 3/8 they can convert at 94 cents, which gives them cheap stock so they sell at 1 1/4 with a 31 cents profit so now they can convert at 69% of 1 1/4 or 86 cents and so on until they can bring this stock down to 50 cents and get 16 million shares for their $8 million dollars bringing the total amount of shares to 28 million or more. This being the case no one would even risk investing for fear of the above basically the mass convertion with an unleashing of cheap stock. The management who allowed the above either saw a sick and ailing company or are crooks. 2) Management sold huge chunks of share in Aug 96 at time of this placement. WHY 3) Investor relation told me of their change in plans for the 25m placement. The new plan is that they need only 3m and will announce soon as how they will get it. Why the change. The answer. No one is willing to invest into this scam and maybe the fear that another trick as the prior preffered offering to scam the common shareholders won't work. THERE IS ONE PERSON ON THIS BOARD WHO I AM ALMOST CERTAIN IS PART OF THE SCAM IN HYPING THIS STOCK. Hope to keep you posted> I believe that people who have all the reports and if possible some tapes of conversations that a case of fraud can probably be brought against the company. AS to the theory that the shorts are manipulating the stock I feel that the problem is deeper and may rest with a crooked management. Stock is at 1 11/32 which gives the preffered the right to convert at 92 cents and will dilute the shares with an additional 10 mill. for a 22-24 mil total.
