Item 1.01 Entry into a Material Definitive Agreement.

On July 21, 2005, the Company and Aventis Pharmaceuticals Inc. amended their Collaboration and License Agreement dated June 22, 2000, as amended to extend the research program term of the agreement for certain limited portions of the research program from July 21, 2005, until the earlier to occur of (a) the parties’ entry into a final agreement further extending the research program; or (b) October 31, 2005.
