More risk there, I believe. 15% collar for MOGN in the stock portion. If it's under ~$23.50 the week before close, you do not get $3.75 worth of consideration. The strategy would be to sell your MOGN fraction shortly after the deal closes. I haven't thought hard about this, but it seems to me some kind of calendar spread or strangle might hedge this risk nicely.

Further discussion would be more appropriate on the MOGN board.
