BEA Systems To Buy Plumtree Software For $200M Cash

SAN FRANCISCO -- BEA Systems Inc. (BEAS) said Monday it would pay $200 million in cash to acquire Plumtree Software Inc. (PLUM) in order to expand its offerings for enterprise business software.

BEA officials said they would pay $5.50 a share for Plumtree, plus assume all outstanding Plumtree share options, to acquire the San Francisco-based company. The deal values gives Plumtree shareholders a 13% premium over the stock's Monday closing price of $4.86 a share.

Plumtree's software is used to develop transaction portals across corporate infrastructures for use by different business workgroups, systems and processes. BEA intends on incorporating Plumtree into a new company product unit after the deal closes. BEA estimates the acquisition will close in the fall of this year.

Plumtree claims that its software is used by more than 700 corporate customers and 21 million individual users worldwide.

In after-hours trading, Plumtree shares surged 54 cents, or more than 11%, to $5.40, while BEA broke even at $8.89.
