They need financing - $5MM to get the ball rolling with their China connection making the house number signs.

And lo and behold HOME DEPOT is interested - saw a prototype, made suggestions for improvement which Nanergy seriously considered and modified their design to suit! Verrrrry interesting! HOME DEPOT wants a working production model to peruse ASAP, whereafter they will place their order if everything is satisfactory. After China gets their LOC it would be 60-90 days to HOME DEPOT shelves - say early 2006.

Nanergy may initially market the sign through a direct marketing approach through the company's web site and/or catalogue operations, Shopping Network type of outlets. Thereafter on to the big box stores like HOME DEPOT.

Battery would store the solar energy - Ni Metal Hydride to start but Nanergy is working on a Ni CNT battery which looks promising.

Hydrogen storage IN and OUT with electric current in a battery. The current assists the storage and assists the output of hydrogen. The present prototype stores ~1.2% by weight of H2; the plan is to store ~2.5% which could be achieved in about 2 years of further R&D.

They intend to become a reporting company shortly to permit merchant banks to provide the $5MM needed.

6.1MM shares O/S with 70MM shres issuable but restricted and legended to complete the merger agreement.

David Sarna has no official position with Nanergy but is more of an advisor to the CEO. Sarna owns some Nanergy restricted shares.

Patents. 2 to be filed/refiled. H2 storage in a battery with IN and OUT assist with an electric field being one.

On patents, Dr. kiss said it is, in this PV thin film field, MORE important to get a product to market and sell things rather than patent.

Ni Metal Hydride batteries purchased from China would be used initially in the consumer nano products but could well be superseded in the future by Nanergy's own battery developments - particularly their efforts toward a Ni/CNT battery. The weakest link in consumer products is batteries but efforts toward super capacitor batteries with nano involvement is now underway and the future looks bright in that regard. In present Ni/Metal Hydride batteries, Ni makes one electrode and NiMH the other. Nanergy's effort is to replace the expensive MH electrode with a cheaper and better CNT one. In the Ni/MH battery, KOH (potassium hydroxide) is the electrolyte.

The big R&D push would be in the next 2-3 years in developing a hydrogen storage/battery combination which could end up powering automobiles, as well as other devices presently using common household type batteries.

The market for consumer PV is presently ~$500MM/year. Most consumer items around the home could end up with no need for the hydro connection - just using PV films and ambient light charging batteries.

A R/S is not presently contemplated but could be introduced if financing was dependent upon it.

There are 4 employees employed in Nanergy USA and 5 people/associates in Hungary working on Nanergy related matters. There are about 15 people in the China development involved in the design phase.
