The ADR's are issued on the basis of 10:1.

As at 31 December 2004, the authorised share capital of the Company was 500 000 000 shares,
of which 336 451 321 were in issue.
During the year, an aggregate of 125 498 915 shares were issued. This included the issuance of
31 798 915 shares for cash at an average price of R1.88 per share, as well as the issue at the end
of September 2004 of 94 000 000 shares at an average price of R1.34 as part of the Randgold

The control of the current unissued share capital vests with the Board of Directors, under the general
authority provided by shareholders at the last General Meeting. The issuance of share capital under
the general authority is further subject to the regulations of the JSE Securities Exchange South Africa
and the provisions of the Afl ease Gold & Uranium Resources Share Incentive Trust. The general
authority was renewed at the Annual General Meeting held on 28 June 2004.
