extendedsystems.com closes acquisition of Extended Systems
Thursday October 27, 6:08 pm ET

Enterprise infrastructure and mobile software provider Sybase Inc. Thursday announced the completion of its acquisition of Extended Systems Inc. for approximately $71.3 million, or $4.46 per share.

Extended Systems' frontline management solutions allow businesses to see and direct its frontline activities and manage any platform in the field from a browser with its patented mobile technology.

By acquiring Boise, Idaho-based Extended Systems (NASDAQ: XTND - News), Sybase gets a company with approximately 2,500 global enterprise customers and 2.5 million users.

Extended Systems' mobile device solutions, including Bluetooth and infrared wireless technologies, have been incorporated into over 400 distinct mobile device designs by major global device manufacturers -- representing millions of Extended Systems-enabled devices in the market.

An August 2005 Forrester report was positive about the Extended Systems acquisition. Sybase "gains a platform for integrating its diverse product set, a deeper European presence and a clear channel to device manufacturers for embedded software sales."

All transaction closing conditions have been satisfied. Sybase intends to integrate Extended Systems into Sybase's iAnywhere Solutions, Inc. subsidiary. iAnywhere provides mobile and embedded databases, mobile management and security and mobile middleware.

"This acquisition positions Sybase with a powerful, end-to-end enterprise information mobility offering that, when combined with our industry-leading mobile database and mobile device management products, enables Sybase to deliver on the benefits of the Unwired Enterprise," said Sybase (NYSE: SY - News) Chairman and President John Chen.

"iAnywhere and Extended Systems have built solid businesses by listening to their customers and proactively addressing their evolving requirements. Combining these two companies will give us the opportunity to continue that progression by putting together the strengths of our products and the expertise of our people," said Terry Stepien, president of iAnywhere. "iAnywhere is committed to the success of our customers as we deliver the industry's leading, most comprehensive mobile and embedded software solutions available."

Sybase provides enterprise and mobile solutions for information management, development and integration in the commerce, communications, finance, government and healthcare industries.

Third-quarter profit for Sybase was up 57 percent, helped by stronger demand in its mobile and wireless segment. Quarterly net income grew to $28 million, or 30 cents per share, from $17.8 million, or 19 cents, the year before. Revenue totaled $199.3 million, up from $198.7 million in 2004.

Pumatech receives another favorable ruling in its infringement suit against Extended Systems, Inc.

Court Rejects ESI's Request To Suspend Litigation Regarding 3 of 8 Pumatech Patents

SAN JOSE, Calif. (08/25/03) - Pumatech, Inc. (NASDAQ: PUMA), a leading provider of synchronization software and services, today announced that the Federal District Court for the Northern District of California, which is overseeing Pumatech's patent infringement litigation against Extended Systems, Inc. (ESI) (NASDAQ: XTND) and Synchrologic, Inc., on August 22, 2003 rejected ESI's request to stay the case as to three of the eight patents asserted against ESI. ESI had filed a motion on July 18, 2003, asking the court to suspend the litigation as to the three patents currently in re-examination before the U.S. Patent and Trademark Office.

In its motion, ESI argued that this partial delay would be more efficient. At the hearing, ESI then asked the court to stay the entire case until the full re-examination process was finished. Pumatech opposed the motion, noting that ESI had delayed its request for the stay until the discovery phase of the case was almost closed. Pumatech also noted that it believes the re-examination is going well, and that it believes its patents will emerge successfully within a relatively short timeframe.

The court rejected ESI's arguments, urged that discovery be completed, and reconfirmed the existing dates in the case, including the trial date of April 12, 2004. "We continue to be encouraged by our progress in the case as another delay to getting this case in front of a jury is eliminated," said Chuck Runge, Pumatech's vice president of intellectual property development.

PUMATECH LAUNCHES NEW INTELLECTUAL PROPERTY WEB SITE

Pumatech also announced today that it has added a new section to its corporate Web site (www.pumatech.com) to provide information regarding its intellectual property program. The Pumatech home page and its "About Us" menu both contain a hyperlink titled "Intellectual Property", which provides access to the new information.

One component of the "Intellectual Property" site provides high-level information about Pumatech's patent portfolio and its history. It also provides easy access to the cover pages of selected patents in the portfolio, where readers can learn more about the significance of each patent's technology and its relevance to Pumatech's products.

Other sections of the "Intellectual Property" Web site provide information on legal cases involving patents in the Pumatech portfolio, such as the following cases filed in the United States District Court for the Northern District of California: 1) Case Number C-02-1916 DLJ, filed on April 22, 2002, and 2) Case Number C-02-1916 DLJ, filed on December 5, 2002. Each of the case sections provides easy access to some of the public records on the case, Frequently Asked Questions, links to related press releases and documents, and summary commentary on various aspects of the cases.

"We invest heavily in intellectual property and, with so much happening that is related to it, we felt our Web site was the best way to communicate with the general public on this important asset," said Runge.
