We are registering up to 27,305,556 shares for sale on behalf of existing convertible note holders upon conversion of their convertible notes, up to 12,640,405 shares for sale on behalf of existing warrant holders upon the exercise of their warrants and 213,132 shares of common stock issued as a result of an exercised warrant. We will not receive any proceeds from this offering. We may receive proceeds from the exercise price of the warrants if they are exercised by the selling security holders. All costs associated with this registration will be borne by WorldWater & Power Corp.
