CALGARY, Nov. 22 /CNW/ - On October 28, 2005, Murdo C. Mcleod, Sidney
Miszczuk, on their own behalf and on behalf of Flag Resources (1985) Limited
("Flag") of which they are both directors, and on behalf of Golden Briar Mines
Limited ("Golden Briar") of which Murdo Mcleod is a director, retained Ian
Blue, Q.C. of Cassels Brock and Blackwell LLP to take the necessary steps to
restore the listing and trading of shares of Flag and Golden Briar on a
recognized Exchange. In addition, they retained him to restore their
qualifications to be directors and officers and employees of companies listed
on the TSX Venture Exchange, and to give appropriate advice.
Cassels Brock is assuming carriage of two appeals by Mcleod and Miszczuk
in Alberta Court of Appeal Files Nos. 0501-0090AC and 0501-0223AC, both of
which now have been consolidated. The appeals are decisions of the Alberta
Securities Commission dated March 29, 2005 and July 14, 2005 with regards to
decisions of the TSX Venture Exchange dated November 23, 2004. These decisions
found that each should not serve as a director or officer of the Exchange
listed company or perform functions for any Exchange listed company, which are
similar to those normally performed by an individual occupying the position of
a director or officer.
In McLeod's case, the Exchange also said that he should not be an
employee, agent or consultant of any Exchange issuer or to be engaged by or
work on behalf of any Exchange issuer.
Cassels Brock has advised McLeod and Miszczuk that the Exchange's and the
Commission's decisions are reviewable.

Flag Resources is preparing to drill the first of three coinciding
magnetic and VLF anomalies, located to the west of Flag's gold-copper zone at
Wolf Lake, Mackelcan Township, Sudbury, Ontario.
