Does this mean they just want the shares and will take what they could get and then own even a larger share of NTOP?
Sounds like more of a reason not to tender unless they plan on grinding the share price to zero while they merge functionality.
As long as he fires current management and board, it might be worth a shot holding.

I can't see how the BOD could remain neutral. Sounds like a lack of fiduciary responsibility to me.
