I'd only be guessing but it looks like one company is going to be a holding company and that the subsidiary is going to be the operating company. There could be lots of legit reasons and also reasons to hide assets. We've chatted about companies that keep assets in a private company while diluting the public entity, and then starting again with the assets safe and the shareholders screwed. The key, I believe, is to find out about these entities and get an answer from the management as to which entity owns what asset and what aspect of the business.
