( BW)(SUN-MICROSYSTEMS)(SUNW) Sun Microsystems Signs Letter of
Intent with Ingram Micro; Ingram Micro to become Sun's third Master
Reseller in the channel

Business Editors

DALLAS--(BUSINESS WIRE)--August 13, 1996--Sun Microsystems
Computer Company (NASDAQ:SUNW) and Ingram Micro, the world's largest
wholesale distributor of microcomputer products, today announced a
letter of intent to include Ingram Micro in Sun's Master Reseller
distribution channel. The final contract is scheduled to be signed
at the beginning of September, 1996.

Under the terms of the agreement, Ingram Micro will be recruiting
new value-added resellers to sell Sun's entire product line, with an
initial emphasis on Netra Internet and Netra NFS products. This new
relationship represents an expansion of Sun's distribution channel on
the heels of the company's recent announcement of its FY97 Sales
Coverage model, aimed at increasing the business proposition for all
Sun resellers.

"As Sun's market share in the Enterprise Network Computing industry
continues to expand, we expect Ingram Micro and the entire Master
Reseller distribution channel to play a significant role in our
mutual success," said Sharon Blender, Director of Sun's U.S. Master
Reseller Program. "Ingram Micro's expertise in the PC and integrated
networking marketplace will contribute to that success by adding a
core competency to the Sun channel and by exposing major business
opportunities for Sun's Netra product line."

"Ingram Micro is excited to partner with Sun in its quest to
further expand its market share in enterprise networking," said
David R. Dukes, co-chairman of Ingram Micro. "This is a
strategically important partnership for Ingram Micro as it expands
our leadership position as a supplier to the VAR community."

Also as part of the agreement, Ingram Micro will establish a
dedicated sales and service team for Sun's product lines comprised of
Ingram Micro associates across multiple job functions, including
field sales, account executives/inside sales, business development
specialists and sales engineers. The team will be Competency 2000
certified (Sun's expert level of sales and technical product
training) and they will adhere to the same requirements that Sun
expects of its two other Master Resellers, Merisel and Access Inc.
