The 8K detailing the sale of FDI hit Edgar today.

I didn't read the whole thing, but the $13,500,000 breaks down this way:

> $9,761,853 cash.

> A two year $2,000,000 promissory note bearing interest at 10% per annum with a $1,000,000 principal payment due in one year. The note is secured by FDI's accounts receivable.

> The rest consists of the assumption of outstanding liabilities connected with the FDI's assets.
