I think the issue of "why were the shares sold," is key. Where they issued to pay for salaries or perks or promotion?

Or where they issued for oil lease acquisitions or a rig, or something like that?

Often in pinkie land, we don't get the answer.

The opinion letter IMO doesn't tell you much. It's typically boilerplate language saying that the shares are exempt from registration, etc.
