rrm_b4u - creating a new entity for the sole purpose of avoiding taxes is considered a felony.

Would you want to retract your statement on this matter?

Let's say you own a company and someone comes in and makes you an offer you can't refuse. How would you take the profits? Would you just take a check and wave by-by to half of it as you sent it to the IRS, or would you start a new company, invest the money in the new company as part of the transaction, and shelter the money from the tax man? You figure it out... any business man would.

Here is a hypothetical for the longs...

Let's say you own a company and someone comes in and makes you an offer you can't refuse. How would you take the profits? Would you just take a check and wave by-by to half of it as you sent it to the IRS, or would you start a new company, invest the money in the new company as part of the transaction, and shelter the money from the tax man? You figure it out... any business man would.

Note the date of 2/16/06 for the new Sems company and 2/19 for the PLNI announcement of the completion of the acquisition. Coinicidence.

I really dod not know that this is the case, but if I were being bought out I'd consult a good tax lawyer and find a way to shelter the money.
