You are coming up with amateur theories, but you are dealing with sophisticated players who protect themselves and have much past experience how these things work and know how to screw common shareholders.

As to your particular theory it is full of holes. Granted there is no liquidity, however should anyone of them need money he will start unloading small amounts say 200,000 shares which will bring the stock to 3/4-7/8 where he can buy at 1/2 and will probably be able to sell at that price. At 1/2 yow will have a totatal of 28 million shares with a market cap of 14 mill. a little less than you have now. I am not saying that this is the only scenario that will screw the common there are many more. The main problem with the preffered is the risk nothing, since they feel that the commpany has a net worth of $8 millioon there original investment and even if the stock goes to 10 cents they are protected since they will get shares base on 10 cents and take away the whole company leanving shareholders with a small percentage.

They are waiting to see the reaction to the Texas startup, which may give the stock a small SUCCER rally where they will be able to unload at a higher price. If not they can always go back and do the selloff at a lower price. And to add insult to injury they get 5% divedend in the meantime.

No one has yet alleviated the concern that the company will issue the next batch of preffered. They probably held off now since the stock declined which made this issueing impossible coupled with the fact that too many people are discussinng the issue now.

You wanted an aswer I can't say I have the full answer but I can start you in the right direction.
