Red Hat Inc. on Monday said it plans to purchase a software firm in a cash-and-stock deal worth as much as $420 million.

The Raleigh-based Linux provider, which posted fiscal 2006 revenue of about $230 million, has signed an agreement to buy JBoss for $350 million up front, plus as much as $70 million in performance-based milestone payments.

Red Hat officials anticipate the transaction will close during the first fiscal quarter and said the deal will be financed with about 40 percent cash and 60 percent Red Hat stock.

JBoss, which specializes in application servers, has headquarters in Atlanta and Neuchatel, Switzerland, with offices in London, Austin, Texas, and Bangalore, India.
