In US corp governance, management works for shareholders by law. But in practice, deals get done when they lead to the best jobs and perks for management. There has to be a premium so shareholders don't bitch more than minimally. I suspect a minimum price on DVW will be $5. If you see the price move up to about $3.75 over the next couple of months, a $5 takeover would be a nice premium and very few longs will complain. I agree with you that if it takes longer, a higher price could be had, but, again, it's all about management seizing the last and best opportunity for jobs and perks.
