Level 3 buying TelCove

Level 3 Communications Inc. has signed a deal to buy telecommunications services provider TelCove Inc. for more than $1.2 billion.
The deal includes $637 million in Level 3 shares, $445 million in cash and the assumption of $156 million in debt.

Privately held TelCove's network includes 22,000 local and long-haul route miles serving 70 markets, including Nashville. The Pennsylvania-based company has annual revenue of about $390 million.

Broomfield, Colo.-based Level 3 (NASDAQ: LVLT - News) is a communications and information services provider, operating a national broadband fiber optic network.

TelCove was once known as Adelphia Business Solutions and was part of Adelphia Communications. Since 2004, the company has been majority-owned by Bay Harbour Management.
